Jakten Platform Terms of Service

These Terms of Service ("Terms") govern your access to and use of services provided by Northland Ventures LLC, doing business as Jakten ("Jakten," "we," "us," or "our"), in connection with Jakten Platform, including subscription management, licensing services, customer accounts, documentation, support resources, and related commercial services.
These Terms operate together with the Jakten Platform End User License Agreement ("EULA"). In the event of any conflict regarding software licensing or intellectual property rights, the EULA shall govern.
By purchasing a subscription, activating Jakten Platform, creating a customer account, or using any associated Jakten services, you agree to these Terms.
1. Commercial Services
Jakten provides commercial services supporting Jakten Platform, including but not limited to:
Subscription management
Software activation
Licensing and entitlement validation
Seat administration
Customer account management
Documentation
Software updates
Technical support resources
Future commercial services offered by Jakten
These services may evolve over time as Jakten Platform grows.
2. Customer Accounts
Certain commercial services require a Customer account.
The Customer is responsible for:
Maintaining accurate account information.
Protecting account credentials.
Managing authorized administrators and users.
Promptly notifying Jakten of unauthorized account access.
The Customer is responsible for all activities occurring under its account unless resulting from Jakten's negligence or security breach.
3. Commercial Subscriptions
Commercial use of Licensed Modules requires an active Subscription.
Each Subscription specifies:
Licensed organization
Licensed modules
Authorized Seat quantities
Subscription term
Applicable commercial entitlements
Certain Platform functionality may be unavailable if it is not included within the Customer's Subscription.
4. Billing and Payment
Subscription fees are billed in advance for each subscription term.
Unless otherwise stated during checkout, subscriptions automatically renew at the conclusion of each subscription term using the payment method on file.
Customers may cancel automatic renewal at any time before the renewal date. Cancellation prevents future renewal charges but does not affect the current subscription term.
Subscription prices do not include applicable sales, use, value-added, or similar taxes unless expressly stated. Applicable taxes will be calculated and presented during checkout where required by law.
Payment processing is performed by third-party payment providers. Jakten does not store complete payment card information.
5. Refund Policy
Initial Subscription Purchases
Jakten offers a fourteen (14) calendar day satisfaction guarantee for initial Subscription purchases made directly through Jakten.
If the Customer requests a refund within fourteen (14) calendar days of the initial purchase date, Jakten will issue a full refund of the Subscription fee. Upon refund, associated software entitlements and commercial access may be terminated.
Subscription Renewals
The fourteen (14) day satisfaction guarantee applies only to the initial Subscription purchase.
Automatic renewal charges are not eligible for refund.
Customers are responsible for canceling automatic renewal before the applicable renewal date if they do not wish to renew their Subscription.
6. Failed Payments
If automatic renewal cannot be completed because payment authorization fails, Jakten may provide a reasonable grace period to allow the Customer to update payment information.
Failure to successfully complete payment may result in suspension or reduction of commercial functionality until payment has been resolved.
7. Subscription Changes
Customers may purchase additional Seats or Licensed Modules during an active Subscription term as permitted by Jakten's commercial offerings.
If a Subscription is modified, Jakten may adjust commercial entitlements accordingly.
Future Subscription renewals may reflect updated pricing or purchased capacity.
Any changes to pricing for future Subscription terms will be communicated before the applicable renewal date.
8. Seat Administration
Customer administrators are responsible for assigning and managing Seats within the limits of the Customer's Subscription.
If the number of assigned Seats exceeds the Customer's purchased entitlement following a Subscription change, Customers may be required to reassign or remove excess Seat assignments before additional assignments can be made.
Seat assignments may be subject to commercial licensing enforcement as described in the EULA.
9. Customer Responsibilities
Customer agrees to:
Provide accurate account information.
Maintain appropriate security for Customer systems.
Protect user credentials.
Comply with applicable laws and regulations.
Maintain appropriate backups of Customer Data.
Use Jakten Platform in accordance with the EULA and these Terms.
Customer remains solely responsible for all business, engineering, construction, estimating, scheduling, procurement, financial, contractual, and project decisions made using Jakten Platform.
10. Availability of Services
Jakten makes reasonable efforts to maintain commercial services supporting Jakten Platform.
However, commercial services may occasionally be unavailable because of:
Planned maintenance
Security updates
Infrastructure failures
Third-party service interruptions
Circumstances beyond Jakten's reasonable control
Jakten does not guarantee uninterrupted availability of commercial services.
11. Third-Party Services
Jakten Platform may integrate with or rely upon third-party products or services, including payment processors, cloud infrastructure providers, authentication providers, email delivery services, mapping services, or future integrations.
Use of third-party services remains subject to the applicable third-party terms and privacy policies.
Jakten is not responsible for services provided solely by third parties.
12. Feedback
Customer may voluntarily provide suggestions, enhancement requests, feature ideas, bug reports, or other feedback regarding Jakten Platform.
Customer grants Jakten a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, incorporate, and otherwise utilize such feedback without compensation or obligation to the Customer.
Customer Feedback does not include Customer Data.
13. Suspension and Termination
Jakten may suspend commercial services or terminate a Subscription where reasonably necessary because of:
Material violation of the EULA or these Terms.
Fraudulent or unlawful activity.
Failure to maintain required Subscription payments.
Security concerns affecting Jakten or other Customers.
Compliance with applicable law.
Where reasonably practical, Jakten will provide notice before suspension.
14. Changes to these Terms
Jakten may update these Terms from time to time.
Material changes will become effective upon publication or another date specified by Jakten.
Where required, Customers may be asked to review and accept updated Terms before continuing to use commercial features of Jakten Platform.
15. Governing Law
These Terms shall be governed by the laws of the State of Missouri, United States, without regard to its conflict of law principles.
The parties consent to the exclusive jurisdiction of the state and federal courts located within Missouri for disputes arising under these Terms.
